Welcome to DefenseBizStack.ai ("Platform", "Service", "we", "us", or "our"), operated by Steeled Inc., a company incorporated in the State of California, headquartered in San Diego, California.

By accessing or using DefenseBizStack.ai, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Definitions

• "Platform" means DefenseBizStack.ai, including all web applications, APIs, tools, and services provided through the domain.
• "StackID" means the unified identity and verification profile created for each User on the Platform.
• "Marketplace" means the two-sided supplier marketplace feature where buyers (primes, hyperscalers, operators) discover and engage verified SMB suppliers.
• "Content" means all text, data, analysis, reports, compliance assessments, and other materials generated by or through the Platform.
• "AI-Generated Content" means Content produced, in whole or in part, by artificial intelligence systems integrated into the Platform.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Platform, you represent that you are authorized to accept these Terms on behalf of yourself or the organization you represent.

3. Account Registration and StackID

To access certain features, you must create an account and a StackID. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activity under your account.

We reserve the right to suspend or terminate accounts that contain false, misleading, or outdated information.

4. Platform Services

DefenseBizStack provides tools and AI-assisted features including, but not limited to:

• Compliance Autopilot: AI-assisted compliance mapping, evidence collection, and readiness scoring for CMMC 2.0, NIST 800-171, ITAR/EAR, DFARS, and related frameworks.
• Prime Intelligence: Market intelligence, RFP tracking, and opportunity identification across defense and data center verticals.
• Capture Automation: AI-assisted proposal development, bid analysis, and teaming partner matching.
• Verified Marketplace: Two-sided supplier discovery platform with StackID verification.

5. Important Disclaimers (Section 0F)

• A law firm or provider of legal advice
• A Certified Third-Party Assessment Organization (C3PAO)
• A DCAA-approved auditor or accounting firm
• A Certified Public Accountant (CPA) or tax advisor
• A licensed insurance broker or surety agent
• A facility security clearance (FCL) sponsor or clearance-granting authority
• A government entity, contracting officer, or representative of any U.S. government agency

All Content provided by the Platform, including AI-generated compliance assessments, readiness scores, bid analyses, and market intelligence, is for informational and educational purposes only. It does not constitute legal advice, compliance certification, audit attestation, tax guidance, insurance underwriting, clearance sponsorship, or government endorsement.

You must consult qualified professionals (attorneys, C3PAOs, DCAA auditors, CPAs, licensed brokers, FSOs, and other licensed practitioners) before making any decisions or taking any actions based on Platform Content.

6. AI-Generated Content

The Platform uses artificial intelligence to generate, analyze, and present content. AI-Generated Content is labeled with [AI-GENERATED] tags where applicable. You acknowledge that:

• AI-Generated Content may contain errors, inaccuracies, or omissions.
• AI-Generated Content does not replace professional advice or judgment.
• You are solely responsible for verifying and validating any AI-Generated Content before relying on it.
• Estimates are labeled [ESTIMATE] and verified data is labeled [VERIFIED]. See our AI Disclaimer for full details on content labeling.

7. Marketplace Terms

7.1 Supplier Listings

Suppliers may create listings on the Marketplace to showcase their capabilities, compliance status, NAICS codes, certifications, and past performance. Suppliers represent that all information in their listings is accurate and current.

7.2 Buyer Access

Buyers (primes, hyperscalers, operators, general contractors) may search, filter, and access supplier listings subject to their subscription tier. Certain supplier details may be gated behind verification or subscription requirements.

7.3 Transaction-Gated Reviews

Reviews and ratings on the Marketplace are transaction-gated: only parties who have completed a verified interaction (contract, engagement, or transaction) through or verified by the Platform may leave reviews. This ensures the integrity and reliability of Marketplace ratings.

7.4 No Endorsement

Listing on the Marketplace does not constitute an endorsement, certification, or guarantee by Steeled Inc. or DefenseBizStack. We do not verify or attest to the accuracy of supplier-provided information beyond the StackID verification process.

8. Subscription Terms

Access to certain Platform features requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected plan on a recurring basis (monthly or annual).
• Automatic renewal unless you cancel before the end of your current billing period.
• Fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.

We reserve the right to change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.

9. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations, including ITAR, EAR, or sanctions regulations.
• Misrepresent your identity, compliance status, clearance level, or certifications.
• Upload false, misleading, or fraudulent information to your StackID or Marketplace listing.
• Attempt to reverse-engineer, decompile, or extract source code from the Platform.
• Scrape, harvest, or systematically access Platform data without authorization.
• Interfere with or disrupt the Platform's infrastructure, security, or other users' access.

10. Intellectual Property

The Platform, including its design, code, algorithms, AI models, branding, and documentation, is the intellectual property of Steeled Inc. and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of data and content you upload to the Platform. By uploading content, you grant Steeled Inc. a limited, non-exclusive license to process, display, and store that content solely for the purpose of providing the Service.

11. Data and Security

We take the security of your data seriously. Please review our Privacy Policy for details on how we collect, use, and protect your information. You acknowledge that:

• You are responsible for ensuring that any data you upload to the Platform is properly handled according to its classification level.
• Do not upload CUI (Controlled Unclassified Information), classified information, or export-controlled technical data to the Platform.
• The Platform is not a CUI-authorized environment and is not FedRAMP authorized at this time.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
• STEELED INC. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL STEELED INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
• STEELED INC.'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Steeled Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content you upload or submit to the Platform.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Platform ceases immediately.
• We may delete your account and associated data after a 30-day grace period.
• Provisions that by their nature should survive termination (including liability limitations, indemnification, and governing law) shall survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in San Diego County, California. You consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and AI Disclaimer, constitute the entire agreement between you and Steeled Inc. regarding the use of the Platform.
